Due Diligence

Due Diligence includes performance of a wide array of tasks such as

• in case of an acquisition the assignment of work modules to the various client's experts such as tax consultants, CPAs, lawyers and other team members, the running through of checklists to ensure that no significant issues are missed, the compilation of main issues and results, and finally the continous updating of financial models with the due diligence results, and...
• in case of a sale the organization of the Data Room, the identification of issues which may be of significance to the sale process or key tems and conditions, the preparation of management presentations and counter-arguments to cover weaknesses, the proactive compilation of data, and the guidance and control of buyers research in the Data Room.

Hübner Schlösser & Cie organizes and controls form and content of the Due Diligence process as an important preparation for final contract negotiations.
